By accessing or using the secure client portal ("Portal") operated by Your Tech Solutions Inc ("YTS," "we," "us," or "our"), you agree to be bound by these Terms of Use & Privacy Policy ("Terms"). If you do not agree to these Terms, do not use the Portal.
Your continued use of the Portal following any update to these Terms constitutes acceptance of the revised Terms. We will update the "Last Updated" date at the top of this page when changes are made.
The Portal is a secure document exchange platform provided by YTS to accounting and tax firms ("Firms") for use by their authorized clients ("you" or "User"). The Portal allows Users to:
YTS operates the Portal as a technology service provider. Your Firm — not YTS — is responsible for your engagement, the advice you receive, and the handling of your financial information within the scope of your relationship with them.
Sign & Return: The Portal may offer a Sign & Return workflow that guides you through printing, signing by hand, and uploading a scanned or photographed copy of a signed document. A handwritten (wet) signature delivered electronically in this manner is not classified as an electronic signature under IRS Publication 1345 and is therefore not subject to electronic signature authentication requirements such as Knowledge-Based Authentication (KBA). This workflow is provided as a convenience tool to facilitate that compliant process. Your Firm is solely responsible for determining whether this method of signing is appropriate for any given document, and YTS makes no representation regarding the enforceability of any document under any law other than the IRS guidance referenced above.
Access to the Portal is granted solely for your authorized use in connection with your engagement with your Firm. You agree to:
YTS reserves the right to suspend or terminate access for any User who violates these Terms or engages in activity that threatens the security or integrity of the Portal.
If your Firm has enabled SMS verification for your account, please read this section carefully.
By providing your mobile phone number and completing SMS verification, you expressly consent to receive automated text messages from YTS for the sole purpose of account authentication and identity verification.
What this means:
Opting out: You may contact your Firm to request removal of SMS verification from your account. Please be aware that opting out of SMS may affect your ability to log in, depending on your Firm's security settings.
This consent is provided pursuant to the Telephone Consumer Protection Act (TCPA) and applicable state laws. By using SMS verification, you confirm that the phone number you provide is a number you own or are authorized to use.
You are solely responsible for the files and content you upload to the Portal. By uploading files, you represent that:
YTS does not review, analyze, or take responsibility for the content of files uploaded by Users. All files are stored exclusively in Microsoft SharePoint, which is owned and operated by Microsoft Corporation independently of YTS. YTS does not maintain a separate copy of your files. File availability, integrity, and retention are subject to Microsoft's infrastructure and your Firm's SharePoint configuration. YTS has no liability for file loss, corruption, or unavailability caused by Microsoft's systems.
File retention is determined by your Firm, not YTS. Contact your Firm with questions about how long your documents are retained.
The Portal uses session tokens to maintain your logged-in state. Sessions expire automatically after a period of inactivity set by your Firm.
Trusted Device Feature: If your Firm has enabled this feature, the Portal may store a trusted device token in your browser's local storage after you complete SMS verification. This allows you to skip SMS verification on future logins from the same device for a configurable period of time.
Login links sent to your email address are single-use authentication credentials. You are responsible for the security of your email account. YTS is not responsible for unauthorized access resulting from a forwarded, intercepted, or otherwise compromised login link, an unattended session, a shared device, or a compromised device.

Third-party services: The Portal uses the following third-party infrastructure to operate:
Each of these providers maintains their own privacy and security practices. YTS selects providers that meet industry security standards.
Data retention: Activity logs are retained according to your Firm's configured retention period (default 180 days). Your account and file data remain until your Firm removes them. YTS does not retain your data after your Firm's account is terminated.
Your rights: Depending on your state of residence, you may have rights regarding your personal data including access, correction, or deletion. To exercise these rights, contact your Firm directly, as they are the data controller for your information. You may also contact us at legal@yourtechso.com.
Security: We use industry-standard security practices including encrypted transmission (TLS), hashed tokens, encrypted credential storage, and session expiry controls. However, no system is completely immune from security risks. You are responsible for maintaining the security of the device and browser you use to access the Portal.
The Portal is a document exchange tool only. Nothing made available through the Portal — including any communications, notifications, or content — constitutes legal, tax, financial, accounting, or any other form of professional advice. YTS is a technology service provider and is not a licensed attorney, accountant, or financial advisor.
All professional advice and guidance in connection with your engagement is provided solely by your Firm. Any reliance on information exchanged through the Portal as professional advice is at your own risk and is not the responsibility of YTS.
THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
YTS does not warrant that:
Your use of the Portal is entirely at your own risk.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOUR TECH SOLUTIONS INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF YTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, YTS'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, YTS'S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
YTS IS NOT LIABLE FOR ANY FAILURE, OUTAGE, DATA LOSS, OR SECURITY INCIDENT CAUSED BY THIRD-PARTY SERVICE PROVIDERS, INCLUDING BUT NOT LIMITED TO MICROSOFT CORPORATION, VERCEL INC, TWILIO INC, AND TELNYX LLC. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PORTAL IS TO STOP USING IT.
You agree to indemnify, defend, and hold harmless Your Tech Solutions Inc and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
YTS reserves the right to modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Portal after any modification constitutes acceptance of the updated Terms.
We encourage you to review these Terms periodically. Material changes will be reflected in the effective date.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio.
Waiver of Jury Trial: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND YTS EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PORTAL.
Class Action Waiver: Any dispute must be brought in your individual capacity only. You may not bring any claim as a plaintiff or class member in any purported class, collective, or representative proceeding.
Force Majeure: YTS shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, third-party service outages, cyberattacks on infrastructure YTS does not operate, power failures, or government action.
No Third-Party Beneficiaries: These Terms do not create any rights in any third party. Only you and YTS are parties to this agreement.
